User Service Agreement
Welcome to Midea Online Training Software!
This Agreement is made between you and Midea Group Co., Ltd., the provider of the software and services for Midea Online Training Software. Please read this Agreement carefully and in its entirety, especially the clauses marked in bold, as well as any linked clauses (which are equally important and together form the agreement applicable to you). By confirming your acceptance of all service terms and completing the registration process to become a user of Midea Online Training Software, you confirm that you have fully read, understood, and accepted all the contents of this Agreement. This Agreement will become effective and legally binding between you and Midea Online Training Software. If you do not agree to this Agreement or any of its terms, please immediately stop the registration process or contact us via email at (MideaDPO@midea.com).
I. Scope of Agreement
1.1 Scope of Application of the Agreement
This Agreement constitutes the agreement between you and Midea Online Training Software, as well as its service provider, regarding your download, installation, and use of Midea Online Training Software and its services.
1.2 Supplementary Agreements
This Agreement also includes related agreements or business rules concerning Midea Online Training Software or its services, such as the Privacy Policy, which have been and will be published by Midea Online Training Software. By using Midea Online Training services, you are deemed to have agreed to the aforementioned supplementary agreements.
II. Account Registration and Use
2.1 User Qualifications
2.1.1 Individual Users: This Agreement applies only to individual users who require the use of the product.
2.1.2 Same User: You confirm that, prior to registering this account, you have not registered any other Midea Online Training Software accounts, nor have you used someone else's information to register a Midea Online Training Software account. Accounts with the same ID or different IDs that meet any of the following criteria may be identified as the same account.
2.1.3 Civil Capacity: You confirm that, before you begin the registration process and start using Midea Online Training Software services, you possess the civil rights and legal capacity required by the laws of your country / region, which are appropriate to your actions. If you do not possess such capacity, you shall obtain the consent of your legal guardian, and your legal guardian must agree to accept this Agreement and assume the responsibilities arising therefrom.
2.1.4 Non-Trade Control Subject: Additionally, you shall ensure that you are not subject to trade restrictions, sanctions, or other legal or regulatory restrictions imposed by any country, international organization, or region. You must also ensure that you have not directly or indirectly provided funds, goods, or services to any such subjects. Otherwise, you may not be able to register or use Midea Online Training Software services.
2.2 Account Registration
2.2.1 When you fill in the required information, read and agree to this Agreement, and complete the entire registration process as prompted on the registration page, you will obtain a Midea Online Training Software account and become a user of Midea Online Training Software.
2.2.2 When using Midea Online Training Software services, you should provide accurate and complete information as prompted on the registration page, so that Midea Online Training Software, its service provider, or other users can contact you effectively. You guarantee the authenticity and validity of the information you provide.
2.2.3 The account name and nickname you choose must not violate national laws and regulations or Midea Online Training Software's rules. Otherwise, Midea Online Training Software or its service provider may reclaim your account name or nickname.
2.3 Account Usage
You have the right to log in to Midea Online Training Software using the password you have set or confirmed. Your account is for your personal use only. Without the consent of Midea Online Training Software and its service provider, you may not license or transfer your account to a third party. If Midea Online Training Software determines that your account usage may compromise the security of your account and/or the information security of Midea Online Training Software, Midea Online Training Software and its service provider have the right to refuse to provide services or terminate this Agreement. When using your Midea Online Training Software account, you shall comply with legal and regulatory requirements and must not infringe upon the rights of any third party, especially intellectual property rights such as those related to fonts and images. If it is found that you are engaging in activities such as using scripts to cheat, using multiple accounts, infringing upon the legitimate rights of third parties, disrupting the system, engaging in machine registration, simulating clients, or other violations and improper conduct, Midea Online Training Software reserves the right to cancel your eligibility to participate in Midea Online Training Software's training or activities. In serious cases, Midea Online Training Software has the right to freeze or reclaim your account and revoke your eligibility to participate in future activities.
2.4 Updates and Maintenance
2.4.1 You are required to update the information you provide in a timely manner. In accordance with legal requirements, Midea Online Training Software and its service provider have the right to inspect and verify your information. You must cooperate by providing the latest, accurate, complete, legal, and valid information.
2.4.2 If Midea Online Training Software and its service provider are unable to contact you using the information you last provided, or if you fail to update your information as required, or if the information you provide is inaccurate, illegal, incomplete, or invalid, you will bear the responsibility and consequences arising from this. Midea Online Training Software and its service provider have the right to issue inquiries or rectification notices to you.
2.5 Account Security Specifications
2.5.1 You are responsible for safeguarding your account. You shall keep your account and password secure, and ensure that you log out at the end of each online session, following the correct steps to exit Midea Online Training Software.
2.5.2 Midea Online Training Software and its service provider will not be liable for any losses or consequences resulting from the voluntary disclosure of your account password or from password breaches caused by attacks, fraud, or other actions by third parties. You are responsible for seeking legal, administrative, or other remedies from the infringing party.
2.5.3 You are fully responsible for all actions under your account. Midea Online Training Software and its service provider will not be held accountable for your actions.
2.5.4 If you notice any unauthorized activities or situations that could lead to your account being compromised or lost, you should immediately notify Midea Online Training Software and its service provider. You acknowledge that Midea Online Training Software and its service provider will need a reasonable amount of time to respond to your requests. Actions taken by Midea Online Training Software and its service provider at your request may not prevent or mitigate any damage caused, and Midea Online Training Software and its service provider will not be held liable for any consequences, unless they are at fault.
III. Protection and Authorization of User Information
3.1 Protection of Personal Information
Midea Online Training Software takes the protection of users' personal information (i.e., information that can identify a user either independently or when combined with other information) very seriously. When you use the services provided by Midea Online Training Software, you agree that Midea Online Training Software will collect, store, use, disclose, and protect your personal information in accordance with the Privacy Agreement you have signed with Midea Online Training Software and the Privacy Policy published by Midea Online Training Software. Midea Online Training Software aims to clearly explain how your personal information is handled through the Privacy Agreement. Therefore, Midea Online Training Software strongly recommends that you read the Privacy Agreement thoroughly to help you better protect your privacy rights.
3.2 Guarantee and Authorization of Non-Personal Information
3.2.1 Information Publication: You declare and warrant that you have the necessary legal rights to publish the information you share. Otherwise, Midea Online Training Software reserves the right to delete or block such information in accordance with the law or this Agreement.
3.2.2 Prohibited Information: You shall ensure that the information you publish does not contain any of the following:
(1) Content that violates national laws or regulations;
(2) Political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terrorism, or incitement to crime;
(3) Fraudulent, false, inaccurate, or misleading information;
(4) Content that infringes on the intellectual property rights of others or involves third-party trade secrets or other proprietary rights;
(5) Insulting, defaming, intimidating, or violating others' privacy or otherwise infringing upon the legitimate rights and interests of others;
(6) Viruses, Trojans, crawlers, or other malicious software or code that could damage, tamper with, delete, or affect the normal operation of Midea's software systems, or secretly collect data or personal information of Midea software and other users without authorization;
(7) Other content that violates public interest or public morals, or is not suitable for publication on Midea Online Training Software according to the terms of relevant agreements or rules.
3.2.3 Authorized Use: For non-personal information such as text, images, videos, audio, and other content you provide, publish, or generate while using Midea Online Training Software services, you hereby grant Midea Online Training Software and its affiliated companies a global, exclusive, royalty-free license to use, sublicense to third parties, and take action against third-party infringement in their own name, all within the legally stipulated protection period.You agree that Midea Online Training Software and its affiliated companies may store, use, copy, modify, edit, publish, display, translate, distribute your non-personal information, or create derivative works from it, and incorporate such information into other works in any form, media, or technology now known or later developed.
IV. Terminal Security Responsibility
4.1 You understand and agree that, like most internet software, this software may be affected by various factors, including but not limited to user actions, network service quality, and the social environment. It may also be vulnerable to security risks, including but not limited to unauthorized use of user data for real-world harassment. Additionally, other software downloaded and installed by users or websites visited may contain viruses, trojans, or other malicious programs, which may compromise the security of your terminal device and data, and affect the normal operation of this software. Therefore, you should enhance your awareness of information security and personal data protection, and take care to protect your password to avoid potential losses.
4.2 You agree to use this software in compliance with the law, and during your use of this software, you will abide by the laws of the People's Republic of China as well as the local laws, regulations, administrative rules, and mandatory industry standards of your country / region. You promise not to create, publish, use, or disseminate malicious programs designed to steal Midea Online Training Software accounts or other people's personal information or property, nor shall you use this software for any activities that violate the laws and regulations of the People's Republic of China.
4.3 Ensuring the security and normal operation of the software is a joint responsibility of Midea Online Training Software and its service provider, and you. Midea Online Training Software will take reasonable and prudent technical measures, in accordance with industry standards, to protect the security of your terminal device and data. However, you acknowledge and agree that Midea Online Training Software cannot provide an absolute guarantee in this regard.
4.4 When using products or services provided by third parties within this software, you must not only comply with this Agreement but also adhere to the third party's user agreement. You and the third party shall each bear responsibility for any disputes that may arise, within the scope of applicable laws and the terms of the agreements.
4.5 When you use this software or request specific services, this software may interact with third-party systems or utilize third-party support for user access or functionality. The outcomes of such use or access are provided by the third party, and Midea Online Training Software does not guarantee the security, accuracy, effectiveness, or legality of the services and content provided by the third party. Any disputes or damages arising from such use are not the responsibility of Midea Online Training Software or its service provider, and Midea Online Training Software and its service provider shall bear no liability. Except for the warranties explicitly provided in this Agreement, Midea Online Training Software and its service provider make no other warranties to you.
4.6 Limitation of Liability: Midea Online Training Software and its service provider shall not be liable for any indirect, special, incidental, punitive, or consequential damages, regardless of the cause or legal theory under which such liability is asserted. The aforementioned liabilities include, but are not limited to, liability arising from contract or tort, or any potential damages that Midea Online Training Software or its service provider were not aware of or should not have reasonably been aware of.
V. Software Services and Specifications
You have the right to access the training services provided by Midea Online Training Software, which you can query as needed after logging into the software.
5.1 You have the right to post questions, like, reply, and comment within the community provided by the software. You should understand that any information you provide on the software is public.
5.1.1All your actions, such as asking questions, liking, replying, and commenting, must comply with the relevant provisions of Midea Online Training Software's rules. Comments should be objective and truthful and must not contain any abusive language, pornography, vulgarity, advertising, or other prohibited content as outlined by laws, regulations, or this Agreement. In the case of violations, Midea Online Training Software and its service provider have the right to delete or block your content in accordance with the software's rules, and may also refer relevant illegal information to administrative or judicial authorities.
5.2 Limitation of Liability
Midea Online Training Software and its service provider strictly fulfill their obligations in accordance with applicable laws and regulations. However, they will not be held responsible for service defects, delays, or changes arising from the following circumstances:
5.2.1 Force majeure events such as natural disasters, strikes, riots, wars, government actions, judicial or administrative orders, and other uncontrollable factors;
5.2.2 Public service or third-party factors such as power outages, communication network failures, telecommunications policy changes, or other external disruptions;
5.2.3 Routine or emergency maintenance of equipment and systems, equipment or system failures, and network or data security issues, provided these were managed in good faith;
5.2.4 Failures of the user's mobile device, system instability, or other issues caused by the user. You understand and agree that, due to various reasons, you may still experience security issues while using this software and its services, such as theft of personal information, virus attacks, or usage restrictions due to international regulations. You should strengthen your awareness of information security and take necessary precautions to avoid potential losses and harassment.
VI. Intellectual Property
6.1 The intellectual property rights to the content provided by Midea Online Training Software and its service provider during the provision of software services (including, but not limited to, text, images, audio, video, charts, and software code) are owned by Midea Online Training Software and its service provider. Unless otherwise agreed upon in this Agreement or expressly permitted by Midea Online Training Software and its service provider, you may not directly use or create derivative works based on such content.
6.2 Unless otherwise specifically stated, the copyrights, patents, and other intellectual property rights or interests related to the software used in the performance of this Agreement are owned by Midea Online Training Software and its service provider.
6.3 The commercial trademarks "Midea Online Training Software", "M", and other related marks used in the performance of this Agreement, as well as their associated copyrights and trademark rights, are owned by Midea Online Training Software, its service provider, and their affiliated companies.
VII. Liability for Breach of Contract
7.1 Determination of Breach
Any of the following circumstances shall be deemed a breach of this Agreement by you:
7.1.1 Violating relevant laws and regulations while using this software or its services;
7.1.2 Violating any provision of this Agreement;
7.1.3 Violating the Midea Online Training Software Privacy Policy or other software rules.
To adapt to the development of e-commerce and meet the demand of numerous users for efficient, high-quality services, you understand and agree that Midea Online Training Software may define procedures and standards for determining a breach in the software rules. For example, Midea Online Training Software may determine whether you have breached the Agreement based on the relationship between your user data and that of other users. You are obliged to provide sufficient evidence and reasonable explanations for any abnormal data related to you; failure to do so will result in a breach being deemed to have occurred.
In cases where the security of other users' information or the software itself is jeopardized, Midea Online Training Software and its service provider have the right to independently determine whether a breach has occurred.
7.2 Measures for Handling Breach
7.2.1 If your act of publishing information on Midea Online Training Software constitutes a violation of law or a breach of contract, Midea Online Training Software and its service provider have the right to delete or block the relevant information.
7.2.2 If you commit a breach, Midea Online Training Software and its service provider have the right to suspend some or all of the services provided to you, or to seal your account and terminate service delivery.
7.2.3 Midea Online Training Software and its service provider have the right to publicly disclose your breach of contract on Midea Online Training Software.
7.2.4 If your breach also violates national laws and regulations, Midea Online Training Software and its service provider have the right to transfer your relevant information to administrative or judicial authorities.
7.3 Liability for Compensation
7.3.1 If your breach of contract causes Midea Online Training Software and its service provider to suffer losses (including direct economic losses, indirect losses such as damage to goodwill, and expenses such as legal fees, litigation fees, notarization fees, etc. incurred as a result), you shall compensate Midea Online Training Software and its service provider for all such losses.
7.3.2 If your breach of contract leads to Midea Online Training Software and its service provider facing claims from a third party, Midea Online Training Software and its service provider may seek full compensation from you for all losses incurred after fulfilling their obligations to the third party.
VIII. Amendment to the Agreement
8.1 Midea Online Training Software and its service provider may modify or supplement this Agreement periodically in response to changes in national laws and regulations or to maintain the order of software usage and protect the security of software-related information. The modified Agreement (hereinafter referred to as "Amendments") will be communicated to you through the legal procedures and in the manner specified in Article 11 of this Agreement.
8.2 If you disagree with the Amendments, you have the right to provide feedback to Midea Online Training Software and its service provider before the effective date set by the Amendments. If your feedback is accepted, Midea Online Training Software and its service provider may adjust the Amendments accordingly.
8.3 If you still disagree with the Amendments after they become effective, you must stop using Midea Online Training Software and its services from the effective date of the Amendments, and the Amendments will no longer apply to you. If you continue using Midea Online Training Software or its services after the Amendments take effect, you are deemed to have accepted the Amendments.
IX. Termination of the Agreement
9.1 Circumstances for Termination
You have the right to terminate this Agreement in any of the following ways:
9.1.1 By voluntarily canceling your account when the conditions for account cancellation as specified by Midea Online Training Software are met;
9.1.2 By ceasing to use the service and explicitly stating that you do not accept the Amendments before they become effective;
9.1.3 By explicitly stating that you no longer wish to continue using Midea Online Training Software and services, and fulfilling the termination conditions set by Midea Online Training Software.
9.2 Midea Online Training Software and its service provider may terminate this Agreement after notifying you in the following circumstances:
9.2.1 You misappropriate others' accounts, publish prohibited information, defraud others of property, sell counterfeit goods, disrupt market order, seek unfair gains through improper means, engage in fraud, publish or sell counterfeit/infringing goods, infringe upon others' legitimate rights, or engage in other illegal or contractual violations;
9.2.2 You violate laws and regulations or the terms of this Agreement, and Midea Online Training Software and its service provider seal/freeze your account;
9.2.3 Your account is reclaimed by Midea Online Training Software and its service provider;
9.2.4 Midea Online Training Software and its service provider seal or revoke your account as required by administrative or judicial authorities;
9.2.5 Other circumstances where the service should be terminated.
9.3 Handling After Termination
9.3.1 After the termination of this Agreement, Midea Online Training Software and its service provider retain the right to continue storing the information you have provided on the Midea Online Training Software.
9.3.2 After the termination of this Agreement, Midea Online Training Software retains the right to hold you accountable for any past breaches of contract or infringements in accordance with this Agreement.
X. Notices
10.1 The contact information you provided upon registration (your email address) will be considered your valid contact information.
10.2 Midea Online Training Software and its service provider may also send notices to you through methods such as internal messages or system notifications, and you agree to receive and accept such notices.
10.3 Various notices sent to you by Midea Online Training Software and its service provider through the aforementioned methods may have a significant impact on your rights and obligations, so please make sure to check them promptly.
10.4 Delivery of Notices
10.4.1 When Midea Online Training Software and its service provider send notices to you using the aforementioned contact information, written notices sent electronically (e.g., publishing announcements on Midea Online Training Software, sending emails to your provided email address, sending system messages to your account, and internal messages) will be considered delivered once successfully sent.
10.5 You shall ensure that the contact information you provide is accurate and valid and update it promptly. If, due to inaccurate contact information or failure to notify us of any changes, notices cannot be delivered or are delayed, you will bear the legal consequences that may arise as a result.
XI. Governing Law, Jurisdiction, and Miscellaneous
11.1 The formation, validity, modification, performance, termination, interpretation, and dispute resolution of this Agreement shall be governed primarily by the laws of the People's Republic of China.
11.2 Any disputes arising from your use of Midea Online Training Software and services shall first be resolved through negotiation between you and Midea Online Training Software and its service provider. If negotiations fail, you have the right to file a lawsuit in the People's Court at the location where this Agreement was signed.
11.3 If any provision of this Agreement is deemed void, invalid, or unenforceable, that provision shall be considered severable and shall not affect the validity or enforceability of the remaining provisions of this Agreement.
11.4 This Agreement is signed in Shunde District, Foshan City, Guangdong Province, People's Republic of China.
